EHR1 Terms of Service
Effective Date: July 10th, 2025
1. Acceptance of Terms
By accessing or using EHR1 (“the Platform”), you (“User,” “Provider,” or “Practice”) agree to be bound by these Terms of Service (“Terms”), including our Privacy Policy. If you do not agree, you may not use the Platform.
EHR1 is a service provided by EHR1, Inc., offering cloud-based electronic health records (EHR) and electronic prescriptions (eRx) for licensed healthcare practitioners and facilities.
2. Eligibility and User Responsibilities
To use EHR1, you must:
- Be a licensed healthcare provider or an authorized representative of a healthcare organization.
- Comply with all applicable local, state, and federal laws, including HIPAA and HITECH.
- Provide accurate registration information and maintain the confidentiality of your login credentials.
- Be responsible for all activity conducted under your account.
3. Use of the Platform
You agree to:
- Use the Platform solely for lawful purposes within a healthcare practice.
- Not misuse or exploit the Platform to interfere with its normal operation or breach any security measures.
- Not use the Platform to transmit, store, or distribute any illegal or harmful content.
EHR1 provides access to features such as:
- Patient charting and documentation
- Appointment scheduling
- Electronic prescriptions (eRx)
- Secure messaging and communication
- Integrated billing tools (if applicable)
4. Data Privacy and Security
EHR1 is committed to protecting your data. We:
- Encrypt all data in transit and at rest.
- Maintain HIPAA-compliant data centers.
- Do not sell or share your Protected Health Information (PHI) with third parties without your consent unless legally required.
You are responsible for obtaining patient consent where necessary and ensuring your use complies with HIPAA and state privacy laws.
5. Service Availability and Support
- EHR1 strives for 99.9% uptime and offers routine maintenance updates.
- Support is available Monday–Friday, 8:00 AM to 6:00 PM CST via email, phone, or live chat.
- Emergency support is provided for outages and urgent access issues.
6. Fees and Billing
- EHR1 charges a monthly subscription fee, as outlined in your signed service agreement or published pricing.
- All features are included in one low, flat rate.
- Failure to pay may result in suspension or termination of your account after appropriate notice.
7. Term, Termination, and Cancellation
You may cancel your subscription at any time with 30 days’ written notice. EHR1 may suspend or terminate your access if:
- You violate these Terms.
- Nonpayment occurs after reasonable notice.
- Required licenses or credentials lapse.
Upon termination:
- You may request a downloadable copy of your data within 30 days.
- We retain PHI only as required by law, after which it is securely destroyed.
8. Intellectual Property
EHR1 owns all rights to the Platform, software, and branding. Users are granted a limited, non-exclusive, non-transferable license to use the software for their practice.
You retain ownership of all patient data entered into the system.
9. Limitation of Liability
EHR1 is not liable for:
- Loss of data due to user error or third-party services.
- Downtime beyond our control (e.g., acts of God, internet failures).
- Damages resulting from improper use or failure to comply with laws.
Our liability is limited to the fees paid by you in the past 12 months.
10. Modifications to the Terms
We reserve the right to modify these Terms. You will be notified of material changes via email or Platform alert. Continued use after changes constitutes acceptance of the revised Terms.
11. Practitioners Using EHR1 for CMS Incentive Program Compliance
If you have obtained an EHR1 license solely to meet the requirements of the Centers for Medicare & Medicaid Services (CMS) EHR Incentive Program (42 CFR Part 495)—including but not limited to the Promoting Interoperability Program (formerly Meaningful Use)—the following terms apply in addition to the rest of this agreement:
- Limited Use License: You are granted a non-transferable, non-exclusive license to use the EHR1 system only to demonstrate compliance with the CMS incentive requirements. This includes retaining access for audit purposes and producing required documentation or reports.
- Data Retention and Reporting: EHR1 retains relevant usage data, logs, and reports necessary to verify compliance with the CMS requirements. Upon request, and for the duration required by CMS audit rules, we will provide access to:
- Certified EHR technology (CEHRT) usage logs
- eRx activity (if applicable)
- Audit reports demonstrating meaningful use or interoperability participation
- Inactive Usage Clause: If you do not actively use the EHR1 system for clinical or administrative purposes beyond CMS reporting, you will not be entitled to full feature access, support services, or system upgrades unless you convert to a full subscription plan.
- Non-Clinical Use Disclaimer: EHR1 makes no guarantee that use of the platform solely for CMS compliance purposes will meet clinical, legal, or operational standards for running a healthcare practice. You are solely responsible for ensuring that your practice systems meet all other regulatory or quality-of-care obligations.
- Audit Access Period: We will retain your account data for a minimum of six (6) years from the end of the reporting period, in accordance with CMS guidelines. Additional data retention may be extended upon request for a nominal fee.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Utah, without regard to its conflict of laws. Any disputes shall be resolved in the courts of Washington County, Utah.
