EHR1 End User License Agreement (EULA)

Effective Date: July 10, 2025

1. License Grant

Subject to your compliance with this Agreement and payment of applicable fees, EHR1, Inc grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Software solely for your internal business or clinical operations as a healthcare provider.

2. License Restrictions

You shall not:
- Copy, modify, or create derivative works of the Software.
- Reverse engineer, decompile, or disassemble the Software.
- Sell, lease, sublicense, rent, or distribute the Software to third parties.
- Use the Software for any unlawful purpose or in violation of applicable regulations including HIPAA, HITECH, and 42 CFR Part 495.
- Share login credentials or allow unauthorized access to the Software.

3. Ownership and Intellectual Property

The Software is licensed, not sold. EHR1, Inc retains all rights, title, and interest in and to the Software, including all associated intellectual property rights. You acquire no ownership interest or rights in the Software other than the limited license granted under this Agreement.
 
All trademarks, service marks, logos, and trade names associated with the Software are the property of EHR1, Inc.

4. Data Ownership and Use

You retain all rights to the data you input into the Software, including Protected Health Information (PHI). EHR1, Inc will:
- Maintain compliance with applicable data protection laws (e.g., HIPAA).
- Use data only for the purpose of providing and improving the Software.
- Not disclose your data to third parties without your consent, unless required by law.
 
You are responsible for maintaining backups of your data and complying with applicable patient consent requirements.

5. Term and Termination

This license begins upon your acceptance and remains in effect until:
- You terminate it by ceasing use of the Software and closing your account.
- We terminate it for breach of this Agreement, nonpayment, or legal noncompliance.
 
Upon termination:
- Your license to use the Software immediately ends.
- You must cease all use and access of the Software.
- You may request a copy of your data within 30 days, after which it may be deleted.

6. Updates and Modifications

EHR1 may periodically update or modify the Software. Such updates may be automatic or require your initiation. Continued use after updates constitutes acceptance of the modified Software.
 
We reserve the right to modify this Agreement with prior notice. Material changes will be communicated via email or in-platform alerts.

7. Disclaimer of Warranties

The Software is provided “as is” and “as available”, without warranty of any kind, express or implied, including but not limited to:
- Fitness for a particular purpose
- Merchantability
- Non-infringement
- Uptime guarantees (except as defined in separate SLA)
 
EHR1, Inc does not warrant that the Software will meet your requirements or be error-free.

8. Limitation of Liability

To the fullest extent permitted by law, EHR1, Inc shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of data, business interruption, or loss of profits
- Any amount exceeding fees paid by you for the previous 12 months

9. Compliance

You agree to use the Software in accordance with:
- Federal, state, and local healthcare laws
- HIPAA and HITECH regulations
- CMS EHR Incentive Program (if applicable)
 
You are solely responsible for your compliance obligations, including patient data handling, user access permissions, and audit readiness.

10. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Utah, without regard to its conflicts of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Washington County, Utah.

11. Entire Agreement

This Agreement, along with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and EHR1, Inc concerning the Software and supersedes any prior agreements or understandings.
